Standard mutual NDA
So you can share a design without a negotiation. Agree to it in the part form, or email parts@seedspace.co for a counter-signed copy. Civil use only.
1. Parties & purpose
This mutual NDA is between SEED and the party submitting a design or enquiry ("you"). Its purpose is to let both sides share technical and commercial information to evaluate making a part: designs, drawings, specifications, requirements, quotes and process notes.
2. Confidential information
Information disclosed by either side that is marked confidential or that a reasonable person would treat as confidential, including your CAD models, requirements and designs, and our quotes, methods and materials information.
3. Obligations
Each side will use the other’s confidential information only for the purpose above, protect it with at least reasonable care, and not disclose it to third parties except to employees or contractors who need it and are under equivalent obligations.
4. Exclusions
Nothing is confidential that is or becomes public without breach, was already known, is independently developed without use of the disclosure, or is rightfully received from a third party.
5. No licence; your design stays yours
Disclosure grants no licence or ownership. Your design remains yours; our methods, software and materials know-how remain ours. We do not claim rights in the parts you ask us to make.
6. Civil use
Both sides confirm the work is for civilian use only and will comply with applicable export-control and sanctions law. No military, defence or weapons application.
7. Term & return
Confidentiality lasts three (3) years from disclosure. On request, each side will return or destroy the other’s confidential information.
8. General
No warranty is given by disclosure. Governing law and venue to be agreed in the signed copy. This template is offered in good faith and is not legal advice.
